We advise the founders and management of newly formed corporations and limited liability companies on matters related to formation, ownership of intellectual property, liability protection and capitalization. After formation, we advise on corporate governance, employee equity, executive employment agreements and raising capital. At all stages, we are mindful of and advise our clients on how to be best positioned to raise capital and to prepare for an eventual sale or initial public offering.

Our practice also includes representing our company clients and institutional investors in private equity and debt financings, including early-stage friends and family investments, angel investments, bridge loans, preferred stock sales and secured and unsecured debt offerings. We have collectively worked on hundreds of financings which enables us to share with our clients our judgment and advice on terms and structures.
