Peter practices in the corporate, securities and tax law areas, on matters including mergers and acquisitions, financings, and general corporate representation to private and public companies. Peter works with clients primarily in the software and technology industries.

In his mergers and acquisitions practice, Peter has represented both buyers and sellers in well over a hundred transactions, ranging in value from less than $1 million to billions of dollars. Peter has represented many leading technology companies in private company stock and asset purchase transactions, including Google Inc., Apple Inc., support.com, Inc. and Digital Music Group, Inc.

In his venture financing practice, Peter has represented many start-ups and later-stage growth companies in their equity and debt financings, as well as venture funds on their portfolio investments. Among many others, Peter has represented Netflix, Inc., Merus Capital, SAP Ventures and Ovation, Inc.

Peter’s corporate practice includes the formation and organization of corporations and limited liability companies, and the counseling of management and boards of directors on transactional, employment, fund-raising, employee-equity and other matters.

Prior to founding the firm, Peter practiced corporate, securities and tax law at Wilson Sonsini Goodrich & Rosati, in Palo Alto, California, from 1996 to 2003.

Peter graduated from the New York University School of Law with a J.D. and an LL.M. in Taxation. After law school, Peter clerked in the U.S. Tax Court in Washington, D.C. for the Honorable Theodore Tannenwald, Jr.

Peter is a member of the State Bars of California and New York and is admitted to practice before the U.S. Tax Court.

Peter is also an officer of the Partnerships and Limited Liability Companies Committee of the Business Law Section of the State Bar of California.
